Terms of Service & Merchant Agreement

HookSend UPI does NOT provide any Payment Gateway services, Banking Accounts, Escrow Services, or Merchant UPI Accounts.

We ONLY provide a technical API tool to generate dynamic QR codes and facilitate UPI application payment intents for your own connected Merchant UPI ID.

We are NOT involved in any financial transaction, payment custody, or fund transfers. All funds settle directly between the customer's bank account and your merchant bank account via the NPCI UPI network.

If your Merchant account is Blocked, Suspended, or Settlement Held by your Bank, Payment Aggregator, or Merchant Provider, HookSend UPI is strictly NOT responsible or liable.

1. Acceptance of Terms

By creating an account, accessing, or integrating any API provided by HookSend UPI (the "Platform", "Service", "we", "us"), the entity or individual registering (the "Merchant", "User", "you") explicitly agrees to be bound by these Terms of Service. If you do not agree with any part of these Terms, you must immediately cease all access and integration.

2. Nature of Software Services

HookSend UPI is strictly a software technology interface that enables merchants to programmatically generate dynamic QR codes and deep-link UPI intents for their own pre-existing merchant accounts (such as Paytm for Business).
We do not act as a payment aggregator, payment intermediary, payment system operator, or custodian of customer money under the Payment and Settlement Systems Act, 2007.
We provide API access only. We do NOT provide, sell, distribute, or license the underlying source code, database architecture, or server logic of this platform.

3. Merchant Accounts, Bank Holds & Third-Party Aggregators

You acknowledge that your merchant accounts are provided by independent third parties (such as Paytm, banks, and authorized payment aggregators). HookSend UPI has no control over these third-party accounts, their internal fraud systems, or regulatory enforcement actions. If your linked merchant account or bank account is blocked, frozen, restricted, or settlement held for any reason, HookSend UPI shall not be held liable or accountable in any manner.

4. Regulatory Compliance & RBI/NPCI Guidelines

The Merchant is solely responsible for ensuring full compliance with Reserve Bank of India (RBI) regulations, National Payments Corporation of India (NPCI) guidelines, Prevention of Money Laundering Act (PMLA), and all applicable Indian taxation and financial laws. The Merchant shall maintain accurate business records, PAN, and KYC documents at all times.

5. Prohibited Activities & Immediate Account Termination

You explicitly agree and warrant that you will NOT utilize the HookSend UPI API for:

Illegal gambling, betting, casinos, lottery schemes, or unauthorized games of chance.
Ponzi schemes, multi-level marketing (MLM), pyramid investments, or unauthorized lending.
Sale of counterfeit goods, unlicensed pharmaceuticals, adult content, or controlled substances.
Phishing, payment impersonation, deceptive dark patterns, or fraudulent financial collection.
Any activity that violates Indian cyber laws or causes political, communal, or religious unrest.

Any account found engaging in prohibited activities will be terminated immediately with all associated API tokens permanently revoked, and relevant logs may be shared with statutory law enforcement authorities upon official notice.

6. Intellectual Property & Brand Names

All software, interfaces, algorithms, visual styles, and trademarks associated with HookSend UPI remain the exclusive intellectual property of the platform. The UPI, BHIM, and Paytm logos referenced on this site are registered trademarks of their respective owners (NPCI, One97 Communications Ltd). They are referenced solely for informational compatibility purposes and do not imply endorsement, affiliation, or partnership.

7. Disclaimer of Warranties & Limitation of Liability

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOOKSEND UPI EXPRESSLY DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND UNINTERRUPTED UPTIME.

UNDER NO CIRCUMSTANCES SHALL HOOKSEND UPI OR ITS OPERATORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS DATA, SETTLEMENT LOSSES, OR BANK PENALTIES ARISING OUT OF YOUR USE OF THE SERVICE.

8. Indemnification

The Merchant agrees to defend, indemnify, and hold harmless HookSend UPI, its operators, officers, and technical agents against any and all claims, damages, liabilities, losses, costs, and expenses (including legal fees) arising from the Merchant's breach of these Terms, unauthorized API usage, customer disputes, chargebacks, or violations of applicable law.
